Partner Terms (Affiliate Program)

1. Who we are

These terms are between you and PromptlessPress Technologies Inc. (British Columbia, Canada), operating as Runverra ("we", "us"). They apply when you join the Runverra affiliate program by ticking "I agree to the Partner Terms (v1.0)" on runverra.com/partners/ and we approve your application.

  • You are an independent partner, not an employee, agent or co-owner of Runverra. You can't sign contracts, take payments, promise prices or make commitments for us.

2. Joining

We review every application and may approve or decline it at our discretion. When we approve you, we email you your own partner code (for example SAM10) and your partner link (runverra.com/?ref=sam). You must be at least 18 and give us true contact details.

3. What you earn

  • 15% of what the client actually pays for their first project and any extras bought with it (a template, custom or 3D website, extra languages), after their discount and before sales tax.
  • No commission on care plans or other monthly fees.
  • Your client gets 10% off their first project with your code. Codes can't be combined with any other discount.
  • All amounts are in US dollars.

4. How a client is credited to you (attribution)

A client is credited to the first partner who sends them, in this order:

  • First, the partner code the client uses at checkout or gives us in writing.
  • If there is no code, the partner link the client opened (it is remembered for 90 days in their browser and sent with our contact form).
  • If neither, a client who tells us in writing or on a call that you sent them, within 90 days of your introduction.

One partner per client. If two partners claim the same client, the earliest proof in our records wins.

5. When a client doesn't count

  • No self-referrals. You don't earn on your own business, your household, your employer, or a business you own, manage or work for.
  • No credit for existing leads. If the client already contacted us, asked for a demo or was in our records before your referral, there is no commission.
  • We may decline a referral that breaks these terms. We will tell you why.

6. When and how you are paid

  • A commission is approved 30 days after the client's payment clears, which covers our 14-day refund window and card disputes.
  • Approved commissions are paid monthly, by the 15th of the following month, by Interac e-transfer (Canada) or PayPal.
  • The minimum payout is $50 (USD). A smaller balance rolls over to the next month.
  • You'll get a monthly statement: each client credited to you, what they paid and your commission.
  • You are responsible for your own taxes. We may ask for the details we need to issue a tax slip (for example a T4A in Canada) and will keep them private.

7. Refunds and clawback

If a client gets a refund or reverses a payment after we have paid you, the commission on the refunded amount is taken off your next payout. If you have no future payouts, you agree to pay it back within 30 days of our request.

8. How you may promote Runverra

  • Always say you're paid. On every post, message or recommendation, add "#ad" or "I earn a referral fee from Runverra", where people will see it. Canada's Competition Act requires this.
  • No spam. No cold emails, bulk texts or DMs, or messages to people who haven't agreed to hear from you, and no bought or scraped lists. Canada's Anti-Spam Legislation (CASL) applies to you and to us.
  • No ads on our name. Don't bid on "Runverra" or similar words in search ads, and don't run ads, pages or accounts that look like they're from Runverra.
  • No coupon or deal sites. Don't post your code on coupon, deal or cash-back sites.
  • Be accurate. Use only the prices and facts on runverra.com. No fake reviews, and don't pose as a customer.
  • Our logos and images are yours to use only to promote Runverra under these terms.

9. Ending

You can leave at any time by emailing hello@runverra.com. We can end your participation with notice, or right away if you break section 8. Commissions earned before the end are still paid under section 6, except on clients won by breaking these terms.

10. Changes to these terms

We will email you at least 30 days before a change takes effect. If you keep promoting Runverra after that, the new terms apply. Commissions earned before a change are paid under the terms in place when they were earned.

11. Liability

We provide the program as is. Our total liability to you for anything to do with the program is limited to the commissions we paid you in the 12 months before the claim. Nothing here limits liability that the law doesn't allow us to limit.

12. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Any dispute goes to the courts of British Columbia. There is no arbitration requirement, and nothing here takes away your right to join a class action.

13. Privacy

We use your name, email, payout details and referral records only to run the program and pay you. See our Privacy Policy at runverra.com/privacy/.
